These Terms of Service (“Terms”) are a legal agreement between you and Value Research Labs (“VRL,” “we,” “us,” or “our”). They govern your use of valueresearchlabs.com, your account, Researcher Rewards, and purchases from VRL.
By accessing the site, creating an account, or placing an order, you agree to these Terms and the policies linked from them. If you do not agree, do not use the site or purchase products.
Eligibility and Purchaser Representations
You must be at least 21 years old and legally able to enter a binding agreement. Products may be purchased only by qualified researchers, laboratories, institutions, or other persons authorized to acquire and handle research materials. By ordering, you represent that all account, billing, shipping, and qualification information you provide is accurate and that your purchase and intended use are lawful in your jurisdiction.
We may refuse, limit, cancel, or require additional verification for any account or order when we reasonably believe these requirements are not met, fraud or misuse may be involved, or fulfillment would violate law or policy.
Research Use Only
All VRL products are sold strictly for in-vitro laboratory research, analytical, or educational use. Products are not for human or veterinary use, consumption, compounding, diagnosis, treatment, prevention, or any in-vivo application. They are not drugs, foods, cosmetics, or dietary supplements and have not been evaluated by the U.S. Food and Drug Administration for safety or efficacy.
You are solely responsible for lawful acquisition, storage, handling, testing, use, and disposal by properly trained personnel. You agree not to resell, market, label, administer, or use any product for an unlawful, clinical, therapeutic, household, or consumer purpose. Information on the site is provided for general product and research-reference purposes and is not medical, veterinary, legal, or professional advice.
Accounts and Account Security
You are responsible for maintaining the confidentiality of your login credentials and for activity under your account. Do not share an account or impersonate another person or organization. Notify us promptly at [email protected] if you suspect unauthorized access. We may suspend or close accounts used for fraud, abuse, policy violations, chargeback abuse, rewards manipulation, or unlawful activity.
Product Information and Certificates
We work to present accurate product names, strengths, descriptions, images, availability, and Certificate of Analysis information. Packaging appearance, label placement, and other non-material details may change. Research materials can vary by lot, and the applicable Certificate of Analysis controls where it differs from general site copy or representative imagery.
Product information is not a promise that a product is suitable for a particular protocol or purpose. You are responsible for reviewing the applicable product page, label, lot information, and Certificate of Analysis before use.
Pricing, Promotions, and Availability
Prices, promotions, product availability, and purchase limits may change without notice. We may correct typographical, pricing, Research Catalog, or inventory errors and may cancel affected orders before shipment. Discounts and promotions are subject to their stated conditions and may not be combined unless expressly permitted.
Comparative Pricing
Competitor or “market” prices are based on publicly available listings, monitored data, or stored reference prices for reasonably comparable products and strengths. They are provided for general transparency and may change, become unavailable, or differ in testing, quantity, shipping, promotions, or other terms. Comparative pricing is not a representation that every competitor offers an identical product or that a listed market price is available at all times.
Orders and Payment
An order confirmation acknowledges receipt of your order but does not guarantee acceptance. We may decline or cancel an order before shipment for inventory issues, pricing errors, payment or fraud concerns, purchase-limit violations, legal restrictions, or suspected misuse. If we cancel a paid order, we will initiate a refund to the original payment method for the canceled amount.
You authorize VRL and its payment providers to charge the amounts shown at checkout, including merchandise, taxes, shipping, optional Value Package Protection, and other disclosed charges. You are responsible for accurate billing and shipping information and for any bank or payment-provider fees.
$20 Minimum Merchandise Order
Every order must retain at least $20.00 in merchandise after discounts and Researcher Rewards redemptions. Shipping charges, taxes, Value Package Protection, and other fees do not count toward the minimum. The cart and checkout may prevent an order from proceeding if the merchandise total falls below $20.00.
Researcher Rewards
Researcher Rewards is governed by the program rules shown on the Researcher Rewards page. Unless otherwise stated, researchers earn 1 point for each eligible $1 of merchandise paid, and 100 points may be redeemed for $10 at checkout. Points are promotional, have no cash value, are not transferable, and cannot reduce an order below the $20 minimum merchandise requirement.
Eligible points become available when an order begins processing. Points connected to canceled, refunded, reversed, fraudulent, or otherwise ineligible transactions may be withheld or removed. Shipping, tax, package protection, fees, free items, and excluded products or discounts do not earn points. We may correct ledger errors and suspend or terminate rewards access for manipulation, duplicate-account abuse, unauthorized automation, resale activity, or other misuse. Program terms may change or the program may end as permitted by law.
Shipping and Delivery
Shipping methods, charges, processing cutoffs, and delivery estimates are described at checkout and in our Shipping Policy. Delivery estimates begin after carrier pickup, exclude weekends and carrier holidays where stated, and are not guarantees. Carrier events, weather, address errors, security reviews, inventory issues, and events outside our control may delay delivery.
You are responsible for providing a complete, deliverable address and promptly reviewing tracking. Title and risk of loss transfer to the buyer when the order is tendered to the carrier, subject to rights that cannot legally be waived and any Value Package Protection selected at checkout.
Value Package Protection
Value Package Protection is an optional service provided by VRL for eligible lost, stolen, or damaged shipments. It is added at checkout by default and can be removed before payment, and it can be added after checkout from the order page until the order ships, within the time shown there. Claims must be filed on our site within the claim windows shown on the Shipping Protection page; approved claims are resolved with a replacement from our stock or a refund of the affected items, and the protection fee itself is not refunded. If protection is not purchased, VRL will still correct our own verified fulfillment errors, but carrier loss, theft, misdelivery, or transit damage may not qualify for a VRL replacement or refund. Shipping protection bought on earlier orders from a third-party provider remains subject to that provider’s terms; contact support and we will help with those claims. Returns, Refunds, and Cancellations
Because products are research materials, all sales are final once shipped. We do not accept returns of shipped products or issue refunds for buyer error, changed plans, or improper storage or handling. If VRL shipped the wrong item or made another verified fulfillment error, contact us promptly as described in the Returns and Refunds Policy.
Cancellation requests are not guaranteed because fulfillment may begin shortly after an order is placed. Approved refunds are generally returned to the original payment method. Bank processing times are outside VRL’s control. Rewards earned or redeemed on canceled or refunded merchandise may be reversed or restored according to the Researcher Rewards rules.
Acceptable Site Use
You may use the site only for lawful purposes. You may not attempt to bypass security or purchase limits; interfere with checkout or site operation; introduce malware; scrape or access the site through unauthorized automated means; misuse coupons, rewards, referrals, chargebacks, or accounts; submit false information; infringe intellectual-property rights; or use the site to facilitate unlawful product use or resale. We may restrict access and pursue available remedies for violations.
Intellectual Property
The site, Value Research Labs name and branding, product images, labels, graphics, text, page design, software, and other content are owned by or licensed to Value Research Labs and are protected by applicable intellectual-property laws. You may view and print reasonable portions for personal or internal research-purchasing purposes. No other reproduction, modification, distribution, commercial use, or creation of derivative materials is permitted without written authorization.
Third-Party Services and Links
The site may link to or integrate payment processors, carriers, analytics providers, affiliate services, and other third parties. Their products, availability, terms, decisions, and privacy practices are controlled by them. VRL is not responsible for third-party sites or services merely because they are linked or integrated.
Google Address Suggestions
Optional checkout address suggestions are provided by Google Maps and are subject to the Google Maps/Google Earth Additional Terms of Service and Google Privacy Policy. Suggestions help enter an address; they do not confirm that a carrier can deliver to it. You can enter your address manually, and our existing shipping restrictions still apply.
Disclaimer of Warranties
To the fullest extent permitted by law, the site, products, content, and services are provided “as is” and “as available.” Value Research Labs disclaims express and implied warranties, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, uninterrupted access, and suitability for any protocol or result. Nothing in these Terms excludes a warranty or right that cannot legally be excluded.
Limitation of Liability
To the fullest extent permitted by law, Value Research Labs and its owners, officers, employees, contractors, and service providers will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages; loss of data, profits, research, opportunity, or goodwill; product misuse; unauthorized use; or carrier and third-party acts.
To the fullest extent permitted by law, VRL’s aggregate liability arising from a product, order, or use of the site will not exceed the amount you paid to VRL for the product or order giving rise to the claim. These limits apply regardless of the theory of liability and even if a remedy fails of its essential purpose. Some jurisdictions do not allow certain exclusions, so portions of this section may not apply to you.
Indemnification
To the extent permitted by law, you agree to defend, indemnify, and hold harmless Value Research Labs and its owners, officers, employees, and contractors from claims, losses, liabilities, costs, and reasonable legal fees arising from your unlawful or prohibited use of the site or products, your breach of these Terms, your misuse or resale of products, or your violation of another person’s rights.
Events Outside Our Control
VRL is not responsible for delay or failure caused by events reasonably outside our control, including carrier disruption, severe weather, natural disaster, labor dispute, supply interruption, cyberattack, utility or network failure, government action, epidemic, war, civil disturbance, or similar events.
Governing Law
These Terms and any dispute arising from them are governed by the laws of the State of Georgia, without regard to conflict-of-law principles, except where applicable consumer law requires otherwise.
General Terms
If a provision of these Terms is held unenforceable, the remaining provisions remain in effect and the affected provision will be enforced to the maximum extent permitted. A delay in enforcing a right is not a waiver. You may not assign your rights or obligations without our written consent; VRL may assign these Terms in connection with a business transaction or by operation of law. These Terms and the policies expressly incorporated into them form the entire agreement concerning the site and purchases and supersede prior discussions on those subjects.
Changes to These Terms
We may update these Terms to reflect operational, product, program, or legal changes. The “Last updated” date on this page identifies the latest version. Changes apply prospectively when posted unless a different effective date is stated. Continued use after an update constitutes acceptance of the revised Terms.
